Terms of Service - Jood Notifications

These Terms of Service ("Terms") govern your access to and use of the Jood Notifications platform ("Service"), operated by Jood L.L.C ("Jood", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you:

Are at least 18 years of age.
Have the authority to enter into these Terms on behalf of yourself or your organization.
Agree to comply with all applicable laws and regulations regarding electronic messaging.

2. Description of Service

Jood Notifications provides a messaging platform that enables organizations to:

Send SMS messages through multiple gateway providers.
Send WhatsApp messages through the Meta WhatsApp Business API.
Manage message templates, recipient lists, and delivery tracking.
Integrate messaging capabilities via API into third-party applications.
Schedule and automate message delivery.

3. Account Registration

You must provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall NOT use the Service to:

Send unsolicited messages (spam), promotional content without recipient consent, or bulk messages to individuals who have not opted in.
Send messages containing illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Violate any applicable laws, regulations, or industry guidelines related to electronic messaging, including but not limited to anti-spam laws.
Transmit malware, phishing links, or any content designed to deceive or harm recipients.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Attempt to gain unauthorized access to other accounts, systems, or data.
Send messages that violate WhatsApp's Business Policy or Commerce Policy.

5. WhatsApp Messaging

When using our WhatsApp messaging features, you additionally agree to:

Comply with Meta's WhatsApp Business API Terms of Service and Business Policy.
Only send messages to recipients who have provided valid consent (opt-in) to receive messages from your business.
Use approved message templates for initiating conversations outside the 24-hour messaging window.
Respond to user opt-out requests promptly and cease messaging those users.
Not use the WhatsApp channel for unsolicited marketing without explicit recipient consent.
Maintain the quality and relevance of your messages to avoid quality rating degradation.

6. API Usage

API access is provided subject to rate limits and usage quotas as defined in your service plan.
You must keep your API keys and secret keys confidential and not share them publicly.
You must not attempt to circumvent rate limits, quotas, or other technical restrictions.
We reserve the right to suspend API access if usage patterns indicate abuse or policy violations.

7. Message Delivery

We make commercially reasonable efforts to deliver messages promptly but do not guarantee delivery times or delivery to all recipients.
Message delivery depends on third-party providers (SMS gateways, Meta WhatsApp API) and recipient device/network availability.
We are not liable for undelivered messages due to invalid phone numbers, network issues, provider outages, or carrier filtering.

8. Fees and Payment

Usage of the Service may be subject to fees as outlined in your service agreement or plan.
Messaging costs (SMS credits, WhatsApp conversation fees) are billed as per the applicable rate card.
We reserve the right to modify pricing with reasonable advance notice.

9. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Jood L.L.C and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

10. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided "as is" without warranties of any kind, express or implied.
Jood shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Our total liability for any claims arising from these Terms shall not exceed the fees you have paid to us in the 12 months preceding the claim.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms.
We may suspend the Service for maintenance, security incidents, or legal compliance with reasonable notice where possible.
You may terminate your account at any time by contacting us.
Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period.

12. Indemnification

You agree to indemnify and hold harmless Jood L.L.C, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Saudi Arabia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
